2.The reason for the donation:
 It is resolved by the Board of Directors meeting that EPISTAR (hereinafteras”the company”) will authorize  Episky Corporation (Xiamen) Ltd., a 100% indirectly holding company by EPISTAR, to collect the funds on behalf of the company , that the funds is generated from disposing equity investment by another 100% shares holding company due to related trading party is unable to remit those funds out of China. It is further resolved that those funds will be gratis donated to Episky Corporation (Xiamen) Ltd. It will not impact to shareholders equity of the company due to Episky Corporation (Xiamen) Ltd. is a 100% indirectly  holding company by EPISTAR.
